Haynes Boone is seeking Capital Markets / Securities Associates (3+ years) to join our Capital Markets Practice Group in our New York, Dallas, Houston, Boston, or Charlotte offices. This role is ideal for candidates energized by sophisticated securities and corporate transactional work and eager to advise issuers, investment banks, and institutional investors on a wide range of complex securities and corporate matters. Successful candidates will bring meaningful experience in U.S. securities laws and capital markets transactions, along with the judgement and skill to guide clients through intricate regulatory, disclosure and compliance challenges.
 
This position includes leading and executing a broad range on corporate finance transactions, including public and private securities offerings such as offerings of common stock, warrants, convertible securities, ATM program. The role involves advising on the structuring, negotiation, and execution of securitizations and related products, including CLOs, CFOs, rated note feeders, ABCP conduit programs, telecom and receivable securitizations, consumer and student loan facilities, and other esoteric securitizations. Candidates should be comfortable drafting and negotiating core transaction documents and managing deal processes.
