This role is ideal for candidates energized by sophisticated securities and corporate transactional work and eager to advise issuers, investment banks, and institutional investors on a wide range of complex securities and corporate matters. Successful candidates will bring meaningful experience in U.S. securities laws and capital markets transactions, along with the judgement and skill to guide clients through intricate regulatory, disclosure and compliance challenges.

This position includes leading and executing a broad range on corporate finance transactions, including public and private securities offerings such as offerings of common stock, warrants, convertible securities, ATM program. The role also involves advising clients on alternative paths to the public markets, including reverse mergers, de-SPACs, and direct listings.

Litigation Associate

Haynes Boone is seeking a mid-level Litigation Associate with 3-5 years of experience in California state and federal courts to join our Orange County office. This position will support labor and employment as well as business litigation. Ideal candidates should have experience in employment litigation, including single plaintiff and wage and hour class and representative actions, and employment advice and counsel. Ideal candidates' litigation experience should include extensive experience with preparing and answering written discovery, managing electronic discovery, motion practice, and taking and defending depositions. Candidates must also have strong academic credentials, excellent writing skills, public speaking skills, and should enjoy working with others in a team-oriented setting. Prior trial and big law experience preferred. Experience as a judicial clerk is a plus but not required. The starting base salary for this Orange County position is expected to be between $260,000-$365,000 annually. Qualifications

Registered to practice before the U.S. Patent and Trademark Office (USPTO).
Strong technical expertise and/or patent prosecution experience on LTE/5G/6G Wireless Networks, computer hardware, AI, and deep learning.
Ability to effectively analyze complex technologies, work directly with inventors and in-house counsel under partner-level supervision and mentoring, and develop strategic patent portfolios.

Responsibilities

Prepare, file, and prosecute U.S. and foreign patent applications.
Conduct inventor interviews and collaborate with clients to identify and protect innovative technologies.
Prepare office action responses, conduct Examiner Interviews, and prepare other prosecution-related documents.
Support the development and management of domestic and international patent portfolios.
Stay current on emerging technologies and developments in patent law relevant to client industries.

Compensation
The expected annual base salary range for this position is $150,000 to $250,000. Actual compensation will be based on a variety of factors, including relevant skills, experience, education, qualifications, geographic location, and other job-related considerations, consistent with applicable law. Compensation

The expected annual base salary range for this position is $235,000 - $365,000 annually plus at market bonuses. Actual compensation will be determined based on a variety of factors, including relevant skills, experience, qualifications, geographic location, and other job-related considerations, consistent with applicable law.
